The Advocate shall provide ongoing legal advisory services to the Company, including

Contract Drafting & Review: Drafting,
Vetting, reviewing, and negotiating
commercial contracts, vendor’s agreements, employments contracts, NDAs, MOUs, and
related documentation.
Board & Management Support: Assistance in
preparation and review of board
resolutions, minutes, notices, and advisory support during board/management
meetings.
Regulatory Compliance Advisory: Guidance on
Compliance under applicable laws,
including Labour laws, Industry-Specific Regulations, and statutory filings
(advisory in nature).
Conflict of Interest:
The Advocate shall not represent competitors or adverse parties in matters directly related to the Company’s business during the subsistence of this agreement, subject to professional ethics.
Confidentiality and Privilege:
All communications between the advocate and the company shall remain strictly confidential and protected under attorney-Client privilege. Confidentiality obligations shall survive termination of this Agreement.
Intellectual Property and Return of Documents:
All documents, drafts, opinions, and advisory notes prepared under this Agreement
shall belong to the Company.
Upon termination, all company records and documents shall be returned.
